  10.  The use of Zip Manager is subject to the following terms and
  11.  conditions.

  13.  Title To The Licensed Software
  14.  ------------------------------
  15.  Title to the licensed software is NOT transferred or sold to the end user.
  16.  The end user is granted a non-exclusive license to use the software
  17.  on a SINGLE computer or computer work station. EACH computer or computer
  18.  work station must have its own licensed copy of the software.
  19.  
  20.  Copyright Protection
  21.  --------------------
  22.  Zip Manager is copyrighted material. It is protected by the copyright laws
  23.  of the United States, the State of Arizona, and other proprietary rights
  24.  of Software Excellence By Design Inc. You may not make any changes or 
  25.  modifications to Zip Manager or this manual. You may not decompile, 
  26.  disassemble, or otherwise reverse-engineer the software in any way.
  27.  
  28.  You may make copies of Zip Manager only under the terms of the section
  29.  entitled "Limited License To Copy The Licensed Software".
  30.  
  31.  You may use Zip Manager on a fourteen (14) day trial basis only, provided 
  32.  you do not violate the protection afforded the licensed software by the 
  33.  copyright laws, and you agree to the terms of the license agreement. 
  34.  If you use Zip Manager past the 14 day evaluation period you are 
  35.  required to purchase it.
  36.  
  37.  Limited Warranty
  38.  ----------------
  39.  Software Excellence By Design does not warrant that the licensed software 
  40.  will meet your requirements or that the operation of the software will be
  41.  uninterrupted or error free.  The warranty does not cover any media or
  42.  documentation which has been subjected to damage or abuse by you or others.
  43.  The software warranty does not cover any copy  of the licensed software
  44.  which has been altered or changed in any way. In other words there is no
  45.  warranty either implied or expressed.
  46.  
  47.  ANY IMPLIED WARRANTIES INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR
  48.  FITNESS FOR A PARTICULAR PURPOSE ARE LIMITED TO THE TERM OF THE EXPRESS
  49.  WARRANTIES. Some States do not allow limitations on how long an implied
  50.  warranty lasts, so the above limitation may not apply to you.

  52.  Other Warranties

  54.  The warranties set forth above are in lieu of any and all other express or
  55.  implied warranties, whether oral, written, or implied, and the remedies set
  56.  forth above are the sole and exclusive remedies.

  58.  Limitation Of Liability

  60.  Software Excellence By Design Inc. is not responsible nor liable in anyway 
  61.  for any problems or  damage caused by the licensed software that may result 
  62.  from using the licensed  software. This includes, but is not limited to, 
  63.  computer hardware, computer software, operating systems, and any computer 
  64.  or computing accessories. End user agrees to hold Software Excellence By 
  65.  Design  Inc. harmless for any problems arising from the use of the software.
  66.  Software Excellence By Design Inc. SHALL NOT IN ANY CASE BE LIABLE FOR ANY 
  67.  SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT OR OTHER SIMILAR DAMAGES 
  68.  ARISING FROM ANY BREACH OF THESE WARRANTIES EVEN IF Software Excellence By 
  69.  Design Inc. OR ITS AGENTS OR DISTRIBUTORS HAVE BEEN ADVISED OF THE 
  70.  POSSIBILITY OF SUCH DAMAGES.  Some states do not allow the exclusion or l
  71.  imitation of incidental or consequential damages, so the above limitation 
  72.  or exclusion may not apply to you.

  74.  In no case shall Software Excellence By Design Inc.'s liability exceed the 
  75.  license fees paid for the right to use the licensed software, or a sum no 
  76.  greater than one Dollar ($1.00), whichever is less.

  78.  Limited License To Copy The Software
  79.  ------------------------------------
  80.  You are granted a limited license to copy Zip Manager ONLY FOR THE TRIAL
  81.  USE OF OTHERS subject to the terms of this software license agreement
  82.  described herein, and that the conditions described below are met:
  83.  Zip Manager MUST be copied in an unmodified form and ZM51I.ZIP MUST contain
  84.  the following files:

  107.  -> No fee, charge or other compensation may be accepted or requested by
  108.     anyone without the express written permission of Software Excellence By 
  109.     Design Inc.

  111.  ->  Public Domain Disk Vendors May NOT CHARGE a fee for Zip Manager
  112.      itself. However you may include Zip Manager on a diskette for
  113.      which you charge a nominal distribution fee. The purchaser of said
  114.      diskette must be informed in advance that the fee paid to acquire the
  115.      diskette does NOT relieve said purchaser from paying the Registration
  116.      Fee for Zip Manager if said purchaser uses Zip Manager.
  117.      
  118.      The statement of shareware registration requirements MUST be printed
  119.      on a label, or other form, that is directly attached to the distribution
  120.      media.
  121.  
  122.  -> Operators of electronic bulletin board systems (Sysops) may post
  123.     Zip Manager for downloading by their users without written permission
  124.     ONLY AS LONG AS THE ABOVE CONDITIONS ARE MET.  A fee may be charged
  125.     for access to the BBS AS LONG AS NO SPECIFIC FEE IS CHARGED FOR
  126.     DOWNLOADING Zip Manager files without first obtaining the express
  127.     written permission from Software Excellence By Design Inc. to charge 
  128.     such a fee.

  130.  The above constitutes the license agreement for Zip Manager. It superceeds
  131.  any and all previous license agreements.
